Payment Due:

Every Monday by 12:00 p.m. (next business day if holiday)

Late Fee:

• A $2,000.00 late fee will automatically be applied if payment is made more than 48 hours after the due date.

4. Vehicle Care & Maintenance (“Keep and Care”)

The Lessee agrees to:

• One-Time Deposit:

• Monthly Service:

  Present vehicle on the last Sunday of each month for servicing

• Daily Checks:

  Monitor oil, coolant, brake fluid, and tire pressure

• Cleanliness:

  Maintain a clean, presentable vehicle consistent with Uber standards

5. Mechanical Issues & Repairs:

• Immediate Reporting:

  Report all issues, warning lights, or unusual sounds immediately

• No Unauthorized Repairs:

  No major repairs or modifications without written approval

6. Accidents & Damage

• Notify Lessor within two (2) hours of any accident or damage

• Lessee is responsible for 50% of the insurance deductible if at fault or if third party is uninsured

7. Insurance Coverage

• Lessor maintains valid fully comprehensive motor vehicle insurance

• Lessee must comply with all policy terms

• Lessee must not take actions that void or compromise coverage

• Lessee must cooperate fully in claims and investigations

8. Liability

• Lessee assumes full responsibility for vehicle use

• No unauthorized drivers without written consent

• Lessor is not liable for injury, loss, or damage arising from use of the vehicle, except where required by law

9. Indemnification

The Lessee agrees to indemnify and hold harmless Mini Fleet Enterprises against all claims arising from:

• Use or operation of the vehicle

• Traffic violations or ride-sharing rule breaches

• Breach of this Agreement

10. No Subleasing or Assignment

• No subleasing, lending, or assignment without written consent

• Unauthorized use results in immediate termination and repossession

11. Governing Law & Jurisdiction

• This agreement is governed by the laws of Jamaica

• Jamaican courts have exclusive jurisdiction

12. Default and Right to Cure

• Lessee has 24 hours to cure any breach after notice

• Failure to cure allows termination and repossession

13. Repossession Without Notice (Serious Breach)

13.1 Termination & Repossession

The Lessor may terminate if:

• Payments exceed 7 days overdue

• Vehicle is not presented for servicing

• Vehicle is used negligently or improperly

13.2 Immediate Repossession

The Lessor may repossess without notice for:

• Non-payment

• Driving under the influence

• Reckless or negligent operation

• Unauthorized use or subleasing

• Insurance violations

• Illegal activities

Repossession may occur at any location without liability.

14. Independent Contractor Status

• No employer-employee relationship exists

• Lessee is an independent contractor

• Lessee is responsible for all taxes, licenses, and compliance

This contract can be canceled at any time by Mini Fleet Enterprises or the Lessee; However, a two-week notice will be required if Lessee wishes to leave of his/her free will. By signing below, both parties agree to this Agreement:
